Terms and Conditions

1. Scope of Services

Nexa Digital provides specialized WordPress engineering, including but not limited to: high-performance optimization, database restructuring (ACF/JetEngine), and cloud infrastructure management. All project scopes, timelines, and deliverables will be finalized in a separate written agreement or “Work Order” before technical work begins.

2. Client Responsibilities & Access

To perform advanced optimizations, the client must provide administrative access to the WordPress dashboard, hosting environment (CPanel/SSH), and relevant third-party services (Cloudflare, Amazon SES, etc.). The client is responsible for ensuring a full backup is available before Nexa Digital initiates “database surgery” or core infrastructure changes.

3. Intellectual Property

Upon full payment, the client owns the front-end design and custom content of the website. However, Nexa Digital retains rights to proprietary code snippets, custom database schemas, and technical optimization methodologies developed during the project, unless otherwise agreed in writing.

4. Performance Guarantees & Technical SEO

While Nexa Digital guarantees optimization based on Core Web Vitals and industry standards at the time of delivery, we are not responsible for performance drops caused by subsequent client-side changes, such as installing unoptimized plugins, heavy uncompressed media, or third-party script injections.

5. Limitation of Liability

Nexa Digital utilizes professional-grade tools and industry best practices. However, we are not liable for any loss of data, site downtime, or loss of revenue resulting from server-side failures, third-party plugin conflicts, or external API changes (e.g., Google Maps, ACF, plugin, Themes updates).

6. Payment & Termination

Payments are structured based on project milestones. Nexa Digital reserves the right to pause technical support or suspend services if payments are overdue. Either party may terminate the agreement with 15 days’ notice, subject to payment for work completed up to that date.

7. Governing Law

These terms are governed by the laws applicable in Chennai, Tamil Nadu, India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai.

8. Our Service Commitment

  • Design Revisions: The project includes up to 5 rounds of revisions. A “round” means a list of changes sent at one time. Any changes requested after the 5th round or after the website goes live may be charged as a separate task.

  • 30-Day Support: We provide free technical support (fixing bugs or errors) for 30 days after the site is handed over. This does not include adding new features or pages.

  • Ownership: The client holds 100% ownership of the Domain and Hosting. Nexa Digital will never withhold login credentials.

  • Maintenance (AMC): If the client chooses not to manage the site themselves, a yearly Annual Maintenance Contract (AMC) will apply for updates, security monitoring, and backups.

  • Content: The client is responsible for providing all text, images, and logos unless otherwise agreed.
